Program Provisions Overview
The GM Supplier Discount Program (The Program) lets eligible employees of select
supplier companies residing in the United States request a GM Supplier Discount
Form to use toward the purchase/lease of new vehicles at the GM Supplier
Discount price (GMS + 4%). Leasing arrangements are only available through a
GMAC SmartLease, not including Saab and HUMMER. By purchasing a vehicle through
The Program, the purchaser acknowledges these Rules and Guidelines and agrees to
abide by them.
The Program may be withdrawn at any time, and its terms are subject to change
from time to time by General Motors. Final decisions in all matters relating to
the interpretation of any rule or phrase of this activity rest solely with the
General Motors Vehicle Division.

Words and Terms
Eligible GM Supplier Company
Eligible GM Supplier Companies are select supplier companies that meet
eligibility requirements as defined by General Motors. Eligible GM Supplier
Companies are identified and notified of their eligibility by General Motors.
Eligibility may end at any time and is at the sole discretion of General Motors.
Eligible Participant
An eligible employee of an eligible GM Supplier Company is able to purchase or
lease a vehicle within the GM Supplier Discount. Eligible participants must be
active hourly or salary (full- or part-time) employees of eligible GM suppliers,
and fleet and commercial customers, not including contract. To qualify for The
Program, you must be a resident of the United States. (Retirees are not eligible
for The Program.)

Eligibility
What vehicles are eligible for The Program?
Only new and unused model GM passenger cars and light-duty trucks (including
vans but excluding converted and upfitted vehicles) originally delivered by GM
to GM Dealers in the U.S. are eligible under The Program. Dealers delivering
vehicles under The Program must be franchised to sell the eligible vehicle.
Eligible vehicles include new and unused 2002, 2003 or 2004 model-year GM cars,
light-duty trucks, minivans and sport utility vehicles. Saab and Saturn vehicles
are also included in The Program. Eligibility of GM vehicles may change at any
time without notice. Currently, EV1 and HUMMER (except HUMMER H2) models are not
eligible for The Program, and some other models may have limited availability,
especially Chevrolet Corvette and Silverado, and GMC Sierra. 2004 model-year
vehicles may have limited availability. For vehicles other than Saab, each
dealer invoice will list a GM Supplier Discount price. That price is figured as
the price a GM employee would pay plus 4 percent. Saab is calculated as the
dealer invoice price less key market advertising, if applicable.
What vehicles are not eligible for The Program?
Dealer demonstrators with more than 7,500 miles and/or that have had a dealer
demo allowance paid, driver training vehicles, special-event vehicles and used
vehicles are not eligible under The Program.
How many vehicles can an eligible employee purchase?
An eligible participant may purchase/lease a maximum of two eligible new and
unused vehicles per model year. The vehicles must be retail-delivered by
December 31, 2003.
What GM Dealers are eligible to sell/lease vehicles under The Program?
All authorized GM Dealers in the United States are eligible to participate in
The Program; however, dealer participation in The Program is voluntary. You must
make known your intention to use the GM Supplier Discount Program discount when
you first visit your GM Dealer to ensure that they are participating. Dealer
participation is on a vehicle-by-vehicle basis. The Program is available only
from participating GM Dealers in the continental United States, Alaska and
Hawaii.

Program Provisions
Vehicle Financing
Eligible participants shall arrange settlement terms with the dealer at the time
the order is placed. If the vehicle is to be financed, the participant has a
choice of lending institutions; however, if the vehicle is to be leased, it may
be leased only under the provisions of the GMAC SmartLease program, except Saab
and HUMMER.
Vehicle Order Placement
All vehicle orders must be placed DIRECTLY with an eligible participating dealer
handling the vehicle the eligible participant desires to purchase. Selection of
the delivering dealer shall conform to the “eligible dealer” criteria described
above.
- Order Inquiry: All inquiries relative to orders must be directed to the dealer
through whom the vehicle was ordered. Vehicle divisions will not accommodate
inquiries on vehicle order status.
- Order Changes: Eligible participants are urged to consider carefully their
choice of models, colors, trims, options and accessories when ordering vehicles.
Vehicle divisions cannot accommodate ANY changes in vehicle order specifications
after an order has entered the production system. Participants are obligated to
accept and purchase vehicles that are built as originally ordered.
Acceptance of Delivery
Dealers will notify participants as soon as the vehicle has been prepared for
delivery. Participants have 14 calendar days from date of dealer notification to
accept delivery of the vehicle ordered. On the 15th day, vehicle disposition
becomes the sole responsibility of the delivering dealer.
Solicitation or Acceptance of Money or Items of Value
An eligible participant must not solicit or accept any money or items from a
dealer in connection with the purchase of a vehicle under The Program. In
addition, a dealer must not offer or give such money or items to an eligible
participant.
GM Dispute Resolution Process
Eligible participants agree to submit unresolved disputes involving repairs made
to their vehicle under GM’s Limited Warranty, or regarding the extent to which
warranty coverage is provided, to a neutral third-party arbitrator through the
GM Dispute Resolution Process. Participation in the GM Dispute Resolution
Process, in lieu of litigation, is mandated in consideration of the discount
received by eligible participants. The decision of the arbitrator is binding on
both the eligible participant and GM, and is not subject to appeal except as
otherwise provided in the Federal Arbitration Act (9 U.S.C. § 2 et. seq.).

Purchase Violations
Eligible participants violating any provisions of the General Motors Supplier
Discount Program shall forfeit the right to purchase vehicles under The Program
(for a period of two model years). In addition, any falsification or
misrepresentation of information or other violation of the terms of The Program
may result in action as deemed appropriate by General Motors Corporation,
consistent with General Motors policies and procedures.
Audit
Vehicle division reserves the right to audit dealership records and disqualify
any sales that do not meet The Program guidelines. Any money improperly paid to
any party based upon dealer’s or participant’s representations shall be charged
back accordingly.
Compliance With Applicable Laws
If any law or regulation is adopted or interpreted which, in GM's opinion,
prohibits or penalizes the implementation of The Program, GM may, in its sole
discretion, cancel The Program or any order submitted pursuant to The Program
without any further obligation, and without any liability to either the dealer
or the participant. SmartLease – Under The Program, an eligible participant may
lease (only under the provisions of the GMAC SmartLease program) a vehicle that
is eligible to be purchased under the General Motors Supplier Discount Program.
